RESUMEN: Este trabajo trata de dar cuenta de los rasgos generales de las obligaciones condicionales en la Propuesta de Modernización del Derecho de Obligaciones y Contratos Revisada, publicada por el Ministerio de Justicia en 2023. Tras una breve introducción de las obligaciones, el artículo se centra en las obligaciones condicionales, ofreciendo una comparativa de su tratamiento en la Propuesta en relación al Código civil vigente y a diversos ordenamientos jurídicos vecinos. El análisis comparado sobre los distintos tipos de obligaciones condicionales pone de manifiesto la problemática existente en torno a las condiciones puramente potestativas y los derechos potestativos. Finalmente, se aborda la conclusión de la fase de pendencia antes de analizar el posicionamiento de los redactores de la Propuesta a favor de la irretroactividad de los efectos del cumplimiento de la condición.

ABSTRACT: This article describes the general characteristics of conditional obligations in the Revised Proposal for the Modernization of the Law on Obligations and Contracts, published by the Ministry of Justice in 2023.After a brief introduction to obligations, the article focuses on conditional obligations, offering a comparison of their treatment in the Proposal with respect to the current Civil Code and various related legal systems. The comparative analysis of the different types of conditional obligations highlights the existing problems surrounding purely optional conditions and optional rights. Finally, the article addresses the conclusion of the pending phase before analyzing the position of the drafters of the Proposal in favor of non-retroactivity of the effects of fulfilling the condition.
